1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "User"), and Lango a subsidiary of ChopEba Technologies (operating as "Lango"), concerning your access to and use of the Lango website and the market access coordination platform (collectively, the "Platform").
Lango is a market access coordination platform that helps emerging brands connect with organized retail chains and manage product applications digitally. By accessing the Platform, creating an account, or utilizing any of our Services, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.
2. About the Lango Platform
Lango provides a digital marketplace where brands can create product profiles and send applications to many retailers through one simple online flow. Retailers can publish their requirements, fees, and acceptance criteria, and receive structured applications from brands in a single inbox.
Lango is owned and operated by Eba (ChopEba Technologies or related entity), which manages the platform, data storage, and security. Lango is a technology provider; we do not buy, stock, or sell products itself, and we are not a party to the commercial contracts or supply agreements between brands and retailers.
3. Definitions
In these Terms and Conditions:
- "Lango" means the online platform, website, and related services provided by ChopEba Technologies.
- "User" means any authorized representative of a Brand or Retailer accessing the Platform.
- "Brand" means a company or person that offers products and uses Lango to apply to retailers.
- "Retailer" means a supermarket, pharmacy, minimart, kiosk, or other store that reviews brand applications on Lango.
- "Account" means an online user profile created on Lango.
- "Services" means all features and functions of the Lango platform, including brand and retailer dashboards, product management, applications, messaging, analytics, and payments.
- "Content" means all text, images, logos, documents, data, and other material that a user uploads or submits to Lango.
- "SKU" (Stock Keeping Unit) refers to a distinct item or product type listed by a Brand.
4. Eligibility, Registration, and Business Verification
To use Lango as a brand or retailer, you must be a legal business entity duly registered with the Corporate Affairs Commission (CAC) of Nigeria, or a person who is allowed to enter binding contracts under the laws of the Federal Republic of Nigeria.
You must provide true, accurate, and complete information during sign-up and "Know Your Customer/Business" (KYC/KYB) checks, including business registration details, Tax Identification Number (TIN), and bank account information. You agree to update your information if it changes, so that your account data stays correct and complete. Lango reserves the right to review and approve or reject your KYC submission within a reasonable time and may request additional documentation where needed to satisfy regulatory requirements.
5. User Accounts and Security
You are responsible for keeping your login details, such as email, phone, passwords, and one-time passwords (OTP), safe and private. You must not share your account with other people or allow anyone else to access Lango using your credentials. You must inform Lango quickly if you believe your account has been used without permission or your password has been exposed. Lango may suspend or disable an account if it believes there has been misuse, fraud, or a breach of these Terms and Conditions.
6. Types of Users and Rights
There are two main types of users on Lango:
- Brands: Use Lango to register their business, set up product SKUs (including names, categories, pricing, NAFDAC numbers, and images), browse a directory of retailers, and build/submit applications to one or many retailers.
- Retailers: Use Lango to create store profiles, publish acceptance criteria and fees, and receive structured applications in a central inbox to approve, reject, or hold applications.
Lango may also provide special admin accounts for its internal operations team to review KYC, monitor quality, and manage the platform.
7. Use of the Platform and Detailed Responsibilities
You agree to use the platform only for lawful business purposes and in line with these Terms and Conditions and any other policies posted on the website.
7.1 Rights and Responsibilities of Brands
- Data Accuracy: Brands have the right to manage their product portfolio but bear the absolute responsibility for the accuracy of all technical specifications, pricing, and logistical data provided.
- Compliance Management: Brands must proactively update expiration dates for NAFDAC certifications and other regulatory permits. Failure to maintain active certifications may result in automatic suspension of SKUs.
- Professionalism: Brands are responsible for following up on Retailer inquiries via the Platform in a professional and timely manner.
- Inventory Integrity: Brands represent that the SKUs listed are either currently in stock or can be produced/sourced within the lead times specified in their profile.
- Pricing Consistency: Brands must ensure that the wholesale or trade prices listed on Lango are consistent with their standard market rates to avoid misleading Retailer procurement teams.
- Asset Quality: Brands are responsible for providing high-resolution, accurate product images and marketing copy that reflect the actual physical product to be delivered.
- Logistics Readiness: Brands acknowledge that an application approval by a Retailer implies the Brand's readiness to fulfill orders according to the Retailer's standard delivery and warehousing protocols.
- IP Warranty: Brands warrant that they own or hold the necessary licenses for all brand names, logos, and trademarks uploaded to the Platform.
- Promotional Alignment: Brands must ensure that any promotional offers, discounts, or "buy-one-get-one" schemes mentioned in applications are valid and executable upon listing.
- Packaging Standards: Brands are responsible for ensuring that physical packaging matches the descriptions provided and complies with Retailer-specific barcode or labeling requirements.
- Representative Authorization: Brands must ensure that all individuals operating the Account are authorized to bind the business to listing agreements and fee payments.
- Notification of Discontinuation: Brands must use the Platform to notify Retailers of any intent to discontinue a listed SKU at least thirty (30) days in advance of stopping supply.
- Indemnity for Product Defects: Brands bear sole responsibility for consumer claims related to product defects, safety issues, or mislabeling once the product has entered the retail supply chain.
7.2 Rights and Responsibilities of Retailers
- Decision Autonomy: Retailers have the absolute right to accept or reject any application based on their internal commercial strategy, shelf space, or margin requirements.
- Transparency: Retailers are responsible for maintaining clear, up-to-date listing criteria to minimize unsuccessful applications from Brands.
- Communication Commitment: Retailers should aim to review and respond to applications within a reasonable timeframe, as defined by their own internal service level standards or as suggested by the Platform.
- Feedback Specificity: While rejections are at the Retailer's discretion, they are encouraged to provide brief, specific reasons for rejections (e.g., "category full" or "insufficient margin") to help Brands improve.
- Confidentiality: Retailers must treat sensitive Brand data, particularly trade pricing and upcoming product launches, as confidential and must not disclose such data to third parties or competing Brands.
- Store Profile Accuracy: Retailers are responsible for keeping their store directory information, including the number of branches and preferred delivery locations, accurate and current.
- Non-Circumvention: Retailers agree not to use Brand contact information obtained via Lango to bypass the Platform's application process for the purpose of avoiding service fees if such a process has already been initiated on Lango.
- Fair Review Process: Retailers agree to review applications without discrimination based on brand size or origin, provided all compliance and quality criteria are met.
- Platform Feedback: Retailers are encouraged to report any technical bugs or user experience issues to Lango to ensure a smooth market coordination flow for Brands.
- Listing Activation Timeline: Retailers should provide a tentative timeline for when an approved SKU will physically appear on shelves to assist Brands with production and supply chain planning.
- Data Security Responsibilities: Retailers must ensure that access to their Lango dashboard is limited to relevant procurement staff to prevent the unauthorized internal leakage of Brand trade secrets.
- Policy Change Alerts: Retailers must update their Lango profile immediately if listing acceptance criteria change to prevent Brands from submitting applications based on obsolete information.
8. Fees, Billing, and Payment Terms
8.1 Fee Structure and Pricing Models
Lango may charge Brands transaction-based fees when they submit applications to Retailers, typically calculated on a "per SKU," "per Application," or subscription-based model. These fees are designated as service charges for the utilization of Lango's digital workflow, database access, and coordination technology. Users acknowledge that payment of these fees does not guarantee listing approval, store placement, or any specific volume of sales.
8.2 Currency and Taxation
All fees are quoted in Nigerian Naira (NGN) unless otherwise stated. Prices are exclusive of applicable taxes, including Value Added Tax (VAT), which will be calculated and added at the point of checkout. Brands are responsible for ensuring that all statutory tax obligations, including any applicable Withholding Tax (WHT) requirements under Nigerian law, are handled appropriately during the payment process.
8.3 Third-Party Payment Processing
Payments are facilitated through secured third-party payment gateways (e.g., Paystack). By initiating a transaction, you agree to comply with the terms and conditions of these providers. Lango does not store sensitive cardholder data or bank credentials on its servers. Lango shall not be liable for any errors, downtime, or security breaches occurring within the third-party payment infrastructure.
8.4 Non-Refundability and Chargebacks
Unless clearly stated otherwise in writing or required by Nigerian consumer protection laws, all application and service fees are strictly non-refundable once the application has been submitted and payment is confirmed. This policy applies even if an application is rejected by the Retailer or if the Brand chooses to withdraw its submission. Attempting to initiate fraudulent chargebacks with your bank will result in immediate and permanent account termination.
8.5 Operational Costs
Users are solely responsible for any ancillary costs associated with using the Platform, including bank transfer fees, mobile data/internet charges, and any logistical costs incurred if a Retailer requests physical product samples.
9. Robust Product Compliance and Safety
9.1 Regulatory Compliance Warranty
Brands expressly warrant that all products listed on the Platform comply with the National Agency for Food and Drug Administration and Control (NAFDAC) Act, the Standards Organisation of Nigeria (SON) Act, and any other relevant Nigerian legislation governing food, drug, cosmetics, and consumer goods. Brands must ensure that all packaging, labeling (including NAFDAC registration numbers), and ingredients meet current Nigerian industrial standards and consumer protection guidelines.
9.2 Verification, Liability, and Recalls
Lango provides a secure portal for digital document submission (e.g., NAFDAC certificates, Lab reports) but does not act as a regulatory or certifying body. The Brand remains 100% liable for any legal action, regulatory fines, or health-related claims arising from the sale or consumption of their products.
- Notification Duty: If a Brand's NAFDAC registration is revoked, suspended, or expires, the Brand must notify Lango and all Retailers with pending applications within 24 hours.
- Recall Protocol: In the event of a product recall (whether voluntary or mandated by a regulator), the Brand must use the Platform's messaging tools to immediately alert all impacted Retailers.
9.3 Sample Submission and Inspection Rights
Retailers retain the absolute right to request physical samples for laboratory testing, store-level sensory evaluation, or packaging inspection prior to final listing approval.
- Logistics: The cost and risk of shipping samples rest entirely with the Brand.
- Disclaimers: Lango is not responsible for the loss, damage, or unauthorized consumption of any physical samples sent between Brands and Retailers. Listing applications may be "Held" or "Rejected" if the physical sample does not match the digital data provided on the Platform.
10. Content, Licensing, and Intellectual Property
10.1 Ownership and User License
Users retain all ownership rights to the content they upload to Lango, including product descriptions, high-resolution images, brand logos, and technical documentation ("User Content").
10.2 License Grant to Lango
By uploading User Content, you grant Lango a worldwide, non-exclusive, royalty-free, and sub-licensable license to host, use, display, reproduce, and distribute that content solely for the purpose of:
- Operating and maintaining the Platform.
- Facilitating the review process for Retailers.
- Marketing the Platform's ecosystem (e.g., featuring a Brand logo in a "New on Lango" newsletter).
10.3 Limited License to Retailers
Brands grant Retailers a limited, non-exclusive license to view, download, and store product data and assets solely for the purpose of evaluating listing applications. Retailers are strictly prohibited from using these assets for third-party marketing or creating competing products without a separate written agreement with the Brand.
10.4 Third-Party IP and Infringement
You confirm that you possess all necessary rights to the User Content and that it does not infringe upon any third-party copyrights, trademarks, or trade secrets. Lango reserves the right, without prior notice, to remove or disable access to any content that we believe violates these Terms, infringes IP rights, or breaks Nigerian law.
10.5 Platform IP and Reverse Engineering
All proprietary software, UI/UX designs, source code, data architectures, and trademarks belonging to Lango or ChopEba Technologies are protected by Nigerian and international intellectual property laws. Users must not attempt to copy, modify, decompile, or reverse-engineer any portion of the Platform.
10.6 User Feedback and Suggestions
If you provide Lango with any feedback, suggestions, or ideas regarding the Platform ("Feedback"), you hereby assign to Lango all rights in such Feedback and agree that Lango shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate without any obligation of confidentiality or compensation to you.
11. Data Protection and NDPR Compliance
Lango acts as a Data Controller and Data Processor as defined under the Nigeria Data Protection Regulation (NDPR).
- Consent: By using the Platform, you consent to the collection and processing of business and personal data (such as representative names, contact details, and NIN/BVN where required for KYC).
- Usage: Data is used strictly for KYC verification, facilitating applications, and platform analytics.
- Rights: Users have the right to request access to their data, object to processing, or request deletion (subject to statutory retention requirements for financial and tax records in Nigeria).
- Audit: Lango conducts periodic data protection audits to ensure continuous compliance with the Nigeria Data Protection Bureau (NDPB) guidelines.
12. Platform Availability and Maintenance
Lango aims to keep the website and platform running with high uptime, but does not promise that the services will always be available or error-free. Lango may change, suspend, or stop any part of the services for maintenance, upgrades, or security reasons. Where reasonable, Lango will try to give users notice of planned downtime.
13. Enhanced Prohibited Activities
To protect the integrity of the market access ecosystem, Users are strictly prohibited from:
- Regulatory Fraud: Uploading forged NAFDAC certificates, CAC documents, or expired tax clearances.
- Fee Circumvention: Using Lango to identify a Retailer or Brand and then intentionally moving the transaction "offline" or via other channels specifically to avoid Lango's service or transaction fees.
- Market Interference: Posting misleading pricing or availability data intended to manipulate market perception or harm competitors.
- Security Breaches: Attempting to bypass Row-Level Security (RLS) or utilizing SQL injection to access other Users' private application data.
- Identity Misrepresentation: Registering as a Retailer when you are a Brand (or vice-versa) to gain unauthorized access to competitor data or acceptance criteria.
- Anti-Competitive Behavior: Engaging in price-fixing, collusive bidding, or any activity that violates the Federal Competition and Consumer Protection Act of Nigeria.
- Bribery and Corruption: Offering, giving, or promising any gift, payment, or incentive to Lango employees, agents, or Retailer representatives to influence listing decisions or bypass standard application procedures.
- Unauthorized Automation: Utilizing bots, spiders, or scrapers to harvest bulk data, product listings, or pricing information without Lango's express written consent.
- Reputational Harm: Using the Platform's communication tools to defame, harass, or spread false information about other Brands, Retailers, or Lango's corporate identity.
- Money Laundering: Using the Platform's payment features to facilitate illicit financial flows or conceal the origin of illegally obtained funds.
- Sublicensing Accounts: Selling, leasing, or transferring your Account access to third parties for commercial gain or to allow unauthorized entities to bypass KYC checks.
- Unauthorized Data Commercialization: Selling, trading, or otherwise commercializing any data, contact information, or market insights obtained from the Platform to third-party marketing or research firms.
- Social Engineering and Phishing: Attempting to trick other Users or Lango employees into revealing passwords, financial data, or sensitive business information via the Platform's internal messaging or support channels.
- Communication Abuse: Using the internal messaging system for non-business purposes, including the mass distribution of unsolicited marketing materials (SPAM) for services unrelated to the product listing application.
- Intellectual Property Theft/Reverse Engineering: Attempting to decompile, disassemble, or reverse-engineer the Platform's software architecture, or copying Lango's proprietary UI/UX elements for use in a competing service.
- Account Multiplicity: Creating more than one Account for the same legal business entity to bypass SKU limits, manipulate application status tracking, or artificially influence brand visibility.
- Restricted or Illegal Goods Distribution: Attempting to list, market, or facilitate the sale of products prohibited by Nigerian law, including but not limited to narcotics, weapons, unapproved pharmaceuticals, or hazardous biological materials.
- Denial of Service (DoS) and System Overloading: Intentionally generating excessive traffic, performing "stress tests," or uploading massive files designed to crash Lango's servers or degrade the performance for other Users.
- Deceptive Endorsements: Falsifying trade history, uploading fake "success stories," or providing fraudulent retailer testimonials to mislead Lango staff or prospective Retailer partners.
- Security Bypass and Exploitation: Identifying software vulnerabilities or "bugs" and using them for commercial advantage or data extraction instead of reporting them through Lango's official support channels.
- Sanctions and Financial Violations: Utilizing the Platform if you or your associated business entity is currently placed on any Nigerian or international financial sanctions lists related to terrorism, organized crime, or tax evasion.
14. Complex Relationship of Parties
14.1 Independent Contractors
The relationship between Lango and its Users is that of independent contractors. Lango is a neutral technology intermediary.
14.2 No Partnership or Employment
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Lango does not represent the Brand to the Retailer as an agent or broker. We provide the "pipes" through which the information flows; we do not influence the Retailer's commercial decision.
14.3 Commercial Independence
Lango is not responsible for the enforcement of payment terms, delivery schedules, or return policies agreed upon between a Brand and a Retailer. Any disputes regarding stock levels, damage-in-transit, or non-payment for goods must be settled directly between the parties without Lango's involvement.
15. Warranties and Disclaimers
The Lango platform and services are provided on an "as is" and "as available" basis. Lango makes no express or implied warranties regarding the quality, safety, legality, or fitness for purpose of the products listed. We do not warrant that the platform will meet every user's expectations or be free from bugs at all times. Any decisions made based on information from Lango are your own, and you should seek professional advice where needed.
16. Limitation of Liability
To the maximum extent allowed by Nigerian law, Lango and its owners, directors, and employees will not be liable for any indirect, special, incidental, or consequential losses, including loss of profit, revenue, or data. Lango is not responsible for the acts or omissions of brands, retailers, or third-party payment providers.
Lango's total liability for any claim related to the platform shall be limited to the total fees you have paid to Lango in the twelve (12) months before the event giving rise to the claim.
17. Indemnity
You agree to indemnify and hold harmless Lango, its owners, and partners from any claims, losses, damages, or expenses (including legal fees) that arise from:
- Your use of the Lango platform.
- Your breach of these Terms and Conditions.
- Your infringement of any third-party rights, including intellectual property or privacy rights.
- Any product liability claims related to goods you have listed on the platform.
18. Suspension and Termination
18.1 Suspension Triggers
Lango reserves the right, in its sole discretion, to temporarily or permanently suspend your access to the Platform at any time and without prior notice if:
- Breach of Terms: You breach any material provision of these Terms, our Privacy Policy, or any other referenced guidelines.
- Documentation Failure: You fail to provide updated KYC/KYB documentation, valid NAFDAC certifications, or CAC registration proofs upon request or upon their expiration.
- Fraudulent Activity: We detect or have reasonable suspicion of fraudulent activity, identity theft, or unauthorized access to your account.
- Financial Delinquency: You fail to pay any service fees, transaction fees, or other charges owed to Lango within the prescribed timeframe.
- Unprofessional Conduct: You engage in harassment, abusive behavior, or unprofessional communication with Lango staff or other Users via the Platform's messaging tools.
- Operational Risk: Your actions create potential legal liability, reputational damage, or operational risk for Lango, other Brands, or Retailers.
- Regulatory Compliance: We receive a formal request or order from a Nigerian regulatory body (such as NAFDAC, SON, or the NDPB) or a court of competent jurisdiction to restrict your access.
- Extended Inactivity: Your account remains inactive for a period exceeding six (6) months, posing a security risk or affecting platform data integrity.
- Listing Misrepresentation: You repeatedly provide false or misleading product information, such as incorrect pricing, weight, or shelf-life, which results in a high volume of Retailer complaints.
- Intellectual Property Infringement: You upload product images, logos, or marketing copy that you do not own or have the right to use, and fail to rectify the infringement after a formal notice.
- System Misuse: You attempt to use scraping tools, bots, or any automated systems to extract bulk data from the Platform or interfere with its performance.
- Verification Refusal: You refuse to undergo a periodic re-verification or audit of your business premises or warehouses if requested by Lango for quality assurance purposes.
- Negative Marketplace Impact: You engage in "listing spam" by creating redundant or low-quality SKUs that degrade the search and discovery experience for Retailers.
18.2 Termination by Lango or User
Lango and the User may terminate this agreement under the following conditions:
- Termination by User: You may terminate your account at any time by navigating to the account settings on the Platform or by contacting Lango support.
- Termination by Lango for Convenience: Lango reserves the right to terminate your access to the Platform for any reason by providing you with thirty (30) days' written notice.
- Termination by Lango for Cause: Lango may terminate your access immediately and without notice if you are in material breach of these Terms, engage in fraudulent or illegal conduct, or if your continued use poses a security or operational risk to the Platform.
- Notice Period & Cooling-Off: While deactivation is immediate for most features, certain data processing functions may take up to thirty (30) business days to finalize.
- Pending Applications: Termination does not automatically cancel applications currently under review by Retailers. It is the User's responsibility to withdraw such applications prior to requesting account closure.
- Final Settlement: Any outstanding fees must be settled in full before an account can be formally closed.
18.3 Reinstatement Process
If your account has been suspended due to documentation failure or financial delinquency, you may request reinstatement by:
- Providing the missing or updated documentation (e.g., renewed NAFDAC permit).
- Settling all outstanding fees plus a reasonable administrative reinstatement fee, where applicable.
- Reinstatement is at the sole discretion of Lango and may require a fresh KYC review.
18.4 Effect of Termination and Data Retention
Upon termination or suspension, your right to use the Services ceases immediately.
- Data Portability: Users have the right to download a copy of their product catalog and application history for a period of seven (7) days following a voluntary termination request.
- Archival Obligations: Notwithstanding your right to be forgotten under the NDPR, Lango is required by Nigerian tax and financial laws to retain records of transactions, invoices, and KYC data for a period of up to seven (7) years.
- Survival: All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, intellectual property licenses granted to Lango (for archival purposes), warranty disclaimers, indemnity, and limitations of liability.
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms and Conditions and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
19.2 Informal Dispute Resolution
Before initiating any formal legal proceeding, you and Lango agree to attempt to resolve any dispute, claim, or controversy through informal negotiations for at least thirty (30) days. This period begins upon receipt of a written "Notice of Dispute" sent by the complaining party.
19.3 Formal Resolution
If the dispute is not resolved informally, it shall be referred to and finally resolved by the courts of competent jurisdiction in Abuja, Federal Capital Territory, Nigeria. Notwithstanding this, Lango reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or data security.
20. Changes to These Terms
Lango reserves the right to modify these Terms at any time to reflect changes in our Services, business environment, or Nigerian regulatory requirements.
- Notification: We will provide notice of material changes by posting the new Terms on the Platform and updating the "Last Updated" date. We may also send a notification via the email address associated with your account.
- Acceptance: Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Platform immediately.
21. Third-Party Links and Services
The Platform may contain links to third-party websites or services (e.g., payment processors, social media links, or external regulatory databases) that are not owned or controlled by Lango. Lango has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Lango shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
22. Force Majeure
22.1 Definition of Force Majeure
Lango shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause that is beyond its reasonable control. Such causes (each a "Force Majeure Event") include, but are not limited to: power failures, internet service provider failures, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action, pandemic, or any other event that is beyond the control of the party in question.
22.2 Notice and Mitigation
Upon the occurrence of a Force Majeure Event, Lango shall use reasonable efforts to notify Users via the Platform or email regarding the nature and extent of the event. Lango will use commercially reasonable efforts to resume performance as soon as practicable.
22.3 Prolonged Events
If a Force Majeure Event continues for a continuous period of more than sixty (60) days, Lango may terminate or suspend the Services indefinitely without liability, provided that Users are given notice of such permanent cessation.
23. Severability and Interpretation
23.1 Severability
If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
23.2 Headings
The headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
24. Assignment and Subcontracting
24.1 Assignment by Lango
Lango may assign, transfer, or delegate its rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your prior consent.
24.2 Restrictions on User Assignment
You may not assign, sublicense, delegate, or otherwise transfer any of your rights or obligations under these Terms to any third party without Lango's prior written consent. Any attempted assignment in violation of this section shall be null and void.
25. Entire Agreement and Non-Reliance
25.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or fee schedules published by Lango on the Platform, constitute the entire agreement between you and Lango regarding the use of our Services.
25.2 Supersedence
This agreement supersedes and replaces all prior or contemporaneous understandings, agreements, representations, and warranties, whether oral or written, between you and Lango regarding the Platform. Each party acknowledges that in entering into these Terms, it does not rely on any statement or representation not embodied herein.
26. Electronic Communications, Transactions, and Signatures
Visiting the Platform, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Platform, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE PLATFORM.
27. No Waiver and Cumulative Remedies
27.1 No Waiver
No failure or delay by Lango in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof.
27.2 Cumulative Remedies
The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by Nigerian law.
